1. General agreement
12supply.com is an online platform where clients can cooperate with experts to find a source or supplier for technical parts, components or products. The website is owned and operated by 12supply.com VOF (12supply.com). All use of the website (www.12supply.com and its related or subdomains), its content, services and products are governed by these terms and conditions. By accessing or using any part of the Website, you agree to become bound by the terms and conditions of this agreement. If you do not agree to all the terms and conditions of this agreement, then you may not access the Website or use any services.
2.1. Finder’s fee
Bij 12supply.com specificeren klanten (de “gebruikers”) een gezocht technisch onderdeel, en betalen een vindersloon aan één van de technische experts aangesloten bij het platform (de “experts”) indien een oplossing wordt gevonden die voldoet aan de specificatie. Het vindersloon wordt in rekening gebracht door 12supply.com, voordat u de aanvraag publiceert. Er worden geen extra geldbedragen in rekening gebracht en u bent niet verplicht om technische producten (of andere aangeboden diensten of producten) te kopen. Zodra een expert een product heeft gevonden dat overeenkomt met alle opgestelde eisen, heeft de expert recht op het vindersloon minus commissiekosten. 12supply.com behoudt het recht om de hoogte van het vindersloon en de commissiekosten te veranderen. Uw persoons- en bezoekgegevens worden door 12supply.com verwerkt voor de administratie en uitvoering van de website en dienstverlening.
2.2. No cure – No pay
When no solution is found that matches the requirements as specified in the initial request, a refund of the paid finder’s fee can be requested. When the initial proposed solution does not agree with the specifications, you can follow-up with the expert to improve the answer. When a solution is found that partially matches your requirements, you are expected to consult with the expert and mutually agree on whether or not the finder’s fee will be paid for the found solution. If a dispute arises between the client and the expert, the management of 12supply.com will mediate and find a solution that is fair and equitable to both parties. If you do not respond within three business days after you receive an answer, 12supply.com has the right to charge the finder’s fee definitively and pay the expert. If the deadline as specified on your request is due and no suitable solution has been found, you can request a refund of the finder’s fee. The maximum amount that can be refunded is the amount of the paid finder’s fee.
2.3. Products and Solutions
12supply.com focusses on the market for technical parts, components or products. 12supply.com does not sell products. 12supply.com facilitates a platform where u can cooperate with technical experts to find a source or supplier for technical products, parts or components. Clients are not obliged to buy or use the products, suppliers or services which are proposed or recommended. Clients bear full responsibility for the decision on if or how to use the recommendations done by 12supply.com or its experts. 12supply.com is not liable in any way for the consequences of the use of third-party products or services that are recommended. Clients are free to post a request for any type of product, however it is forbidden to post requests for products that are illegal in the country of your jurisdiction or which can be associated with terrorist activities. Clients are solely responsible for determining whether a request is legal and/or ethical. 12supply.com reserves the right not to accept requests for technical products which are suspected to be associated with illegal, objectionable or otherwise unacceptable activities.
3.1. Finder’s fee
12supply.com facilitates a platform where registered experts can search technical products for clients in exchange for a finder’s fee. Experts can earn money by succesfully solving the requests. 12supply.com cannot guarantee that labor performed by an expert is always rewarded with a finder’s fee. When another expert solves the question faster, or the found solution does not completely agree with the specifications, there is a chance that the finder’s fee will not paid, or be paid to another expert. When the client accepts the found solution, the finder’s fee (minus commissions) will be transferred to the corresponding expert account. Clients have three (3) days to accept or dismiss the found solution, when clients don’t reply within this timespan the finder’s fee is transferred to the corresponding expert account. A client can dismiss a proposed solution when it does not match the specifications, ask for an iteration of the found solution, or ask for cancellation. When the expert agrees with the cancellation request, the finder’s fee is returned to the customers account. When the expert does not agree with the cancellation request, the management of 12supply.com will determine wether cancellation will be performed.
3.2. Products and Solutions
Als expert heeft u een onafhankelijke positie. Het is niet toegestaan om producten aan te bevelen waar u een belang in heeft. Alle informatie die u verzamelt is naar waarheid en het is verboden om informatie te plaatsen die inbreuk maakt op copyrights, of andere licenties, patenten of rechten. U bent zelf verantwoordelijk voor welk type producten u zoekt. Het is verboden om producten te zoeken of aan te bevelen die verband houden met illegale activiteiten, zoals bijvoorbeeld terrorisme, racisme of criminaliteit. Uitkering van uw saldo is pas mogelijk vanaf het minimale uitkeringsbedrag.
3.3. Expert accounts
Experts have to apply for an expert account at 12supply.com before being registered as an expert. 12supply.com has the right to deny applications when there are doubts on the capabilities or independence of the expert. 12supply.com may suspend, disable or delete your Expert account at any time with or without cause or notice. This may happen if you contravene this agreement. You should always treat customers in a professional and understanding manner. In the event you have a dispute with a client, please contact 12supply.com immediately and do not contact the customer until further notice.
4. Limitation of liability
In no event shall 12supply.com be liable to any user of this site or any other person or entity for any direct, indirect, special, incidental, consequential or exemplary damages (including, but not limited to, damages for loss of profits, loss of data, loss of use, or costs of obtaining substitute goods or services) arising out of the use, inability to use, unauthorized access to or use or misuse of the site or any information contained thereon, whether based upon warranty, contract, tort (including negligence), or otherwise, even if 12supply.com has been advised of the possibility of such damages or losses. 12supply.com is not liable for any incorrect information on the website. 12supply.com is never liable for information exchanged on the platform by users, clients or experts.
By using this Site, you agree to indemnify, hold harmless and defend 12supply.com from any claims, damages, losses, liabilities, and all costs and expenses of defense, including but not limited to, attorneys’ fees, resulting directly or indirectly from a claim by a third party that arises in connection with your use of this Site.
6. Applicable law
All relations between involved parties(including but not limited to clients, experts and suppliers) and 12supply.com shall be governed and interpreted pursuant to the laws of the Netherlands, notwithstanding any principles of conflicts of law. All disputes arising out of or relating to these relations will be exclusively submitted the the court Den Bosch, sector kanton, location Eindhoven, the Netherlands.
